1.   With asset sales the purchaser does not assume the liabilities except as regards employees, unless this is specifically agreed.

2.   On the sale, the purchaser should not assume any such liabilities as they are not liabilities to the employees.

3.   In buying and selling of property it has become customary for the purchaser to assume that he will obtain a loan from bank or other financial institution.
