22.   Western asked the Securities and Exchange Commission on Monday to order Kansas City Power and UtiliCorp to issue new proxy materials before the vote.

23.   Wyser-Pratte said proxy materials would be sent to Pennzoil shareholders as soon as the company sets its annual meeting.
