31.  Under the terms of the all-stock transaction, NetZero and Juno will become wholly owned subsidiaries of a newly formed company called United Online Inc.

32.  SANZAR is believed to be deeply concerned that the prime resources of its newly-formed company -- the players -- could be slipping from its grasp.

33.  The newly formed company will keep the Publicis name and Levy will continue to head the group.
