1.   Lay is also serving as president.

2.   Lay was serving as co-chair of the host committee for the Republican National Convention in Houston, where the elder Bush was nominated for a second term.

3.   Lay served on the board of Texas Commerce because he was a major customer of the bank and because he had stature among Houston business executives.

4.   Lay had served in those positions since, except during a few months last year when he relinquished the title of chief executive officer to Jeff Skilling.

5.   Lay also has served on the board of directors at Compaq Computer Corporation, drug maker Eli Lilly and a number of educational, research and charitable organizations.
